Increased Exposures to FCPA Liability - Training Important

Monday, May 2, 2011

The Foreign Corrupt Practices Act (“FCPA”) is a difficult statute for global companies to comply with - especially in light of recent cases in which the SEC and Department of Justice have cracked down on U.S. companies.

The FCPA prohibits U.S. companies, individuals and foreign subsidiaries of U.S companies, and others, from bribing foreign officials in return for business.

What is clear from recent cases concerning the Foreign Corrupt Practices Act is that the FCPA’s broad application can, and often does, trigger parent company liability for its foreign subsidiary’s acts irrespective of the parent company’s level of knowledge concerning the illegal  conduct.

Public announcements of increased FCPA enforcement from the Department of Justice and the SEC indicate a focus on companies with weak compliance and controls systems.  U.S. companies with foreign-based operations must provide specific FCPA education and training for key employees.
